These Terms and Conditions ("Terms") govern your use of marine-ropes.com and any quote,
order, sale or delivery between you and Marine Ropes cc ("Marine Ropes", "we", "us"). By using this website, creating an account, or placing an order, you
confirm that you have read, understood, and agreed to these Terms together with our Privacy Policy.
If you do not agree to these Terms, please do not use this website or place an order with us.
1. About these terms
Marine Ropes cc is a Namibian closed corporation, registered as Nemi Investments 64 t/a Marine Ropes cc, with its head office in Walvis Bay. Our Windhoek
branch trades as R and L Lifting Gear Namibia t/a Liftingear Namibia cc. Together we operate as Southern Africa's industrial and marine procurement platform,
supplying ropes, rigging, lifting, marine, mining and industrial products across the SADC region.
These Terms apply to all visitors, registered customers and business buyers. Where you place an order on behalf of a company, you confirm that you are
authorised to bind that company to these Terms.
2. Definitions
- "Website" means marine-ropes.com and any related subdomains operated by us.
- "Goods" means the products listed for sale on the website or quoted to you in writing.
- "Order" means your request to purchase Goods, placed via the website, by email, by phone, or in person.
- "Quote" means a written price offer issued by us, valid for the period stated on the quote (or, if not stated, 14 calendar days).
- "Account" means the customer profile you create on the website.
- "VAT" means Value Added Tax as levied under the Namibia Value Added Tax Act 10 of 2000.
- "Business Day" means Monday to Friday, excluding Namibian public holidays.
3. Your account
You must be at least 18 years old to create an account. When you register, you agree to provide accurate, current and complete information, and to keep
this information up to date.
You are responsible for safeguarding your account password and for any activity that takes place under your account. If you suspect unauthorised use,
notify us immediately at salesdesk@marine-ropes.com.
We may suspend or close an account if we reasonably believe it has been used to breach these Terms, attempt fraud, or harm other users or the website.
4. Quotes, orders and acceptance
Quotes are written price offers and are valid for the period stated on the quote, or 14 calendar days if no period is stated. Quoted prices are subject to
availability of stock and confirmation at the time of acceptance.
An order submitted via the website is an offer to buy. Acceptance happens when we send you an order confirmation by email, or when we issue an invoice,
whichever occurs first. We reserve the right to decline an order or to limit order quantities at our discretion, including where:
- The Goods are not available in the requested quantity.
- There is an error in the price or description on the website.
- We are unable to verify the buyer or the delivery address.
- We suspect the order is fraudulent or violates these Terms.
If we decline your order after payment has been made, we will refund the amount paid using the same payment method, within 10 business days.
5. Pricing, VAT and payment
All prices on the website are displayed in Namibian Dollar (N$) and are inclusive of 15% Namibia VAT unless explicitly stated otherwise. Prices may also be
shown in South African Rand (ZAR) at a fixed parity, or in United States Dollar (USD) for export quotes.
For registered trade customers, prices on quotes and invoices may be displayed exclusive of VAT, with VAT calculated and added at the standard rate on the
final invoice. Cross-border export orders may qualify for VAT zero-rating in line with the Namibia VAT Act, subject to documentary proof of export.
Accepted payment methods include EFT, online card payment via our authorised payment processors, and cash or card on collection at our Walvis Bay or
Windhoek counters. Goods remain our property until payment has been received in full.
For overdue invoices, we reserve the right to charge interest at the Bank of Namibia repo rate plus 2% per annum, calculated daily, in line with the
Namibia Prescribed Rate of Interest Act.
6. Shipping, delivery and risk
We ship across the SADC region via three core trade corridors out of Walvis Bay: the Trans-Cunene corridor to Angola, the Trans-Kalahari corridor to
Botswana and South Africa, and the Walvis Bay corridor to Zambia and the DRC. Estimated transit times are provided on the website at order placement but are
not guaranteed and may be affected by border processing, weather, and carrier capacity.
For local delivery within Namibia, risk and title in the Goods pass to you on delivery to the address you specified. For cross-border export orders, risk
passes when the Goods are loaded onto the carrier's transport at our Walvis Bay premises (FCA Walvis Bay, per ICC Incoterms 2020), unless agreed otherwise in
writing.
Where Goods are collected from our counter, risk passes at the moment of collection.
Where we cannot deliver because no one is available at the address, or because the address details are incorrect, we may charge a re-delivery fee.
7. Returns, refunds and product warranty
If the Goods are damaged in transit, defective, or different from what you ordered, please notify us within 7 calendar days of delivery at salesdesk@marine-ropes.com, with photographs and your order number. We will arrange
replacement, repair, or refund at our discretion in line with the Namibia Consumer Protection regime.
For change-of-mind returns, the Goods must be unused, in their original packaging, and returned to us at your cost within 7 calendar days of delivery. We
may charge a restocking fee of up to 15% to cover handling and re-shelving. Made-to-order, cut-to-length, custom-spliced, or specially imported items are not
eligible for change-of-mind returns.
Manufacturer warranties, where applicable, are passed through from the original manufacturer and are subject to the manufacturer's own warranty terms and
warranty period. Marine Ropes is not the manufacturer of the products it sells. We will assist you in lodging a warranty claim with the manufacturer where the
product remains in warranty.
8. Product information and availability
We make every effort to describe products accurately on the website, including dimensions, break loads, certifications, and material specifications.
However:
- Product images are representative. Slight variations in colour, finish or batch markings may occur.
- Break load figures and technical specifications are supplied by the original manufacturer. They are guideline values for nominal test conditions and
should not replace project-specific engineering advice.
- Stock levels shown on the website are indicative. We will confirm availability when we process your order.
For safety-critical applications, please request a written specification confirmation from our sales team before placing an order. Where lifting gear is
supplied, applicable certification documents will accompany the Goods on delivery.
9. Intellectual property
All content on the website, including the Marine Ropes name and logo, product photography, technical drawings, written descriptions, and the underlying
design and code, is owned by Marine Ropes cc or its licensors and is protected by Namibian and international copyright and trademark law.
You may view and download content for personal, non-commercial reference. You may not reproduce, republish, modify, sell, or use any content for commercial
purposes (including competitor catalogues or AI training datasets) without our prior written permission.
10. Acceptable use
When using the website, you agree not to:
- Use the website for any unlawful, fraudulent or abusive purpose.
- Attempt to gain unauthorised access to our systems, accounts, or any restricted area of the website.
- Upload viruses, malware, or any other harmful code.
- Use automated scraping tools to download our catalogue or pricing data.
- Impersonate another person or company, or misrepresent your affiliation.
- Interfere with the operation of the website or with other users' use of it.
We may suspend, terminate, or refuse service to any user who breaches these provisions, and we reserve the right to report unlawful conduct to the relevant
authorities.
11. Liability, indemnity and disclaimers
To the maximum extent permitted by Namibian law, our total aggregate liability to you for any claim arising out of or in connection with the Goods, the
website, or these Terms is limited to the invoice value of the Goods that gave rise to the claim.
We are not liable for any indirect, incidental, consequential, or special losses, including loss of profits, loss of business opportunity, loss of data, or
loss of goodwill.
The website and its content are provided on an "as is" basis. We do not warrant that the website will be uninterrupted, error-free, or free of viruses,
although we take reasonable steps to secure and maintain it.
You agree to indemnify and hold Marine Ropes cc, its directors, employees, and partners harmless from any claim or demand arising out of your breach of
these Terms or your misuse of the Goods or the website.
Nothing in this section excludes or limits liability that cannot be excluded by law, including for death or personal injury caused by our negligence, or
for fraud.
12. Force majeure
We are not liable for any failure or delay in performing our obligations where that failure or delay results from events beyond our reasonable control,
including but not limited to:
- Acts of God, natural disasters, severe weather, or pandemic.
- War, civil disturbance, terrorism, sanctions, or trade embargoes.
- Strikes, lockouts, or industrial action.
- Port closures, customs delays, or border restrictions.
- Carrier failure, fuel shortage, or transport infrastructure failure.
- Internet outage, hosting failure, or cyber-attack.
If a force majeure event lasts more than 30 days, either party may cancel the affected order on written notice, and we will refund any payment made for
undelivered Goods.
13. Governing law and disputes
These Terms are governed by and interpreted under the laws of the Republic of Namibia. You and Marine Ropes cc submit to the non-exclusive jurisdiction of
the Namibian courts in respect of any dispute arising out of or in connection with these Terms.
Before issuing legal proceedings, we ask that you first raise the dispute with us at admin@marine-ropes.com, so we can attempt to resolve the matter through good-faith discussion. Most issues are resolved within 14 business days
at this stage.
14. Changes to these terms
We may update these Terms from time to time as our products, services, or the law change. The "Last Updated" date at the top of this page reflects the
latest version. Material changes will be communicated via a notice on the homepage or by email to registered customers, at least 14 calendar days before they
take effect.
Your continued use of the website after a change takes effect constitutes your acceptance of the updated Terms.
15. General provisions
- Entire agreement: these Terms, together with our Privacy Policy and any written quote or order confirmation we issue to you, form the
entire agreement between us in respect of the Goods.
- Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full
force.
- No waiver: our failure to enforce any right or provision does not waive that right or provision.
- Assignment: you may not transfer your rights or obligations under these Terms without our written consent. We may assign these Terms to
a successor entity (for example, on a sale or restructure of the business) on written notice.
- Notices: all notices to us must be sent to admin@marine-ropes.com.
Notices to you will be sent to the most recent email address on your account.
- Language: the English version of these Terms is the governing version. Any translation is provided for convenience.
